When an Embedded Partner Leaves, Who Owns the Working Files?

October 16, 2026When an Embedded Partner Leaves, Who Owns the Working Files?

Agree on file ownership, access and unfinished work before an agency engagement ends. Use a practical exit checklist without waiting for a crisis.

A shared chat channel can make an outside partner feel like part of the team. It does not, by itself, tell you who owns the source files, who controls an account or where unfinished decisions will be recorded when the engagement ends.

Discuss the exit while the relationship is working. This is an operational planning checklist, not a substitute for reviewing the agreement that governs ownership and access.

Name the items that must remain usable

List campaign files, editable designs, website configuration, reporting definitions, deployment instructions and other materials relevant to the engagement. For each, record the current location, responsible owner and intended recipient at handoff.

Do not confuse a final exported image with its editable source. Ask which deliverables are included under the agreement and which depend on third-party licenses or accounts.

Test access before the final day

Have an authorized internal owner confirm that they can reach the agreed files and administrative controls using their own account. Do not solve the handoff by sharing one person's password.

If something depends on a partner-owned service, decide whether it will be transferred, replaced or remain under an ongoing arrangement. Record the decision and the responsible person. “We will figure it out later” is not an access plan.

Handoff unfinished work as unfinished

For each open item, distinguish what is deployed, what is approved, what is only proposed and what is blocked. Include the next action and the evidence needed to complete it.

For example: “Landing-page copy approved; form notification untested; internal owner must verify delivery before launch.” That is more useful than a folder named FINAL containing several incompatible drafts.

Close the relationship deliberately

Confirm that the receiving team has what it needs before authorized administrators remove access. Preserve records according to the actual agreement and business requirements; do not delete shared work as a housekeeping shortcut.
